4. Payment Terms

4.1 Fees and Charges

Payment terms for our services:

• Fees are as quoted in our proposals or agreements
• Payment is due as specified in the service agreement
• All fees are in Kenyan Shillings (KES) unless otherwise stated
• Late payments may incur additional charges

4.2 Refund Policy

Refunds are provided on a case-by-case basis for:

• Services not delivered as agreed
• Cancellations made within the agreed timeframe

Refund requests must be submitted within 30 days of service delivery.

5. Intellectual Property

5.2 Client Content

You retain ownership of content you provide to us. By using our services, you grant us a license to use your content solely for providing the agreed services.

5.3 Deliverables

Upon full payment, you receive ownership rights to deliverables as specified in your service agreement, excluding our proprietary tools and frameworks.

6. Service Level and Availability

6.1 Website Hosting

We strive for 99.9% uptime but do not guarantee uninterrupted service. Scheduled maintenance will be communicated in advance.

6.2 Support

Support is provided as outlined in your service agreement. Response times vary based on your service tier.

7. InstaCare Kenya Telemedicine Terms

7.1 Medical Disclaimer

InstaCare Kenya provides telemedicine consultations but does not replace emergency medical services. In case of emergency, contact local emergency services immediately.

7.2 Healthcare Provider Relationship

Consultations are provided by licensed healthcare professionals. The patient-provider relationship is between you and the healthcare provider, not VisionGrind Tech Limited.

7.3 Prescription Services

Prescriptions are issued at the healthcare provider's discretion and subject to applicable regulations.

8. Business Registration Services

8.1 Government Processing

We facilitate business registration and KRA services. Processing times and approvals are subject to government authorities and are beyond our control.

8.2 Client Obligations

You must provide accurate information and required documentation. Delays due to incomplete information are your responsibility.

9. Limitation of Liability

To the maximum extent permitted by law:

• We are not liable for indirect, incidental, or consequential damages
• Our total liability shall not exceed the fees paid for the specific service
• We are not responsible for third-party service failures
• You use our services at your own risk

10. Indemnification

You agree to indemnify and hold VisionGrind Tech Limited harmless from any claims, damages, or expenses arising from:

• Your use of our services
• Your violation of these terms
• Your violation of any third-party rights
• Content you provide to us

11. Data Protection and Privacy

Your use of our services is also governed by our Privacy Policy. We collect and process data in accordance with Kenyan data protection laws.

Both parties agree to maintain confidentiality of proprietary information shared during the business relationship. This obligation survives termination of services.

We may terminate or suspend services if you:

• Fail to make payments

We reserve the right to modify these terms at any time. We will notify users of significant changes. Continued use of our services after changes constitutes acceptance of the new terms.

15. Dispute Resolution
